MUTUAL CONFIDENTIALITY ACKNOWLEDGEMENT

Between: Sigil Proof, a private company limited by shares in formation, Cork, Ireland (the "Company"); AND the undersigned recipient identified in the form below (the "Recipient").

1. Purpose

The Company holds confidential information relating to its compliance-evidence infrastructure product, including financial projections, regulatory mapping, counsel methodology, customer pipeline, and corporate documentation (the "Confidential Information"). The Recipient wishes to evaluate a potential commercial or investment relationship with the Company.

2. Recipient obligations

1. Use the Confidential Information solely to evaluate the relationship contemplated.
2. Do not disclose, copy, or distribute the Confidential Information to any third party without the Company's prior written consent.
3. Limit access to employees, advisors, and counsel with a legitimate need to know and bound by equivalent confidentiality obligations.
4. Apply the same protection to the Confidential Information that the Recipient uses for its own confidential material of similar sensitivity.

3. Exclusions

Confidential Information does not include information that is or becomes publicly available without breach by the Recipient, was in the Recipient's possession before disclosure, is independently developed by the Recipient without use of the Confidential Information, or must be disclosed by law or court order with prompt notice to the Company.

4. Term

This acknowledgement remains in effect for two (2) years from acceptance. Upon Company request, the Recipient shall return or destroy all copies and certify such return or destruction in writing.

5. No license or representation

Nothing here grants the Recipient any licence, ownership, or other right in the Confidential Information. The Company makes no representation as to the accuracy or completeness of any forward-looking statement.

6. Governing law

This acknowledgement is governed by the laws of Ireland. Disputes are subject to the jurisdiction of the courts of Ireland.

7. Counsel of record

This acknowledgement is administered by Sentinel Legal (Geneva, Switzerland) on behalf of Sigil Proof (in formation). Submission is logged with the date, time, recipient identifiers, and IP address for the Company's compliance records.
